LexisNexis Conference: Amendments to the SECURITIES AND FUTURES ACT

LexisNexis Conference: Amendments to the SECURITIES AND FUTURES ACT

1 Dec 2005

To All Members

The Monetary Authority of Singapore has in recent times issued a number of changes affecting the capital markets regulatory regime. One of the latest is the amendments to the Securities and Futures Act which took effect in two stages. The first stage related to the provision of market and clearing facilities, and the conduct of intermediaries; it came into effect on 1 July 2005. The second stage relating to offers of investments will take effect on 15 October 2005. In light of Singapore?s effort to strengthen its position as a global financial centre, these revisions will not only serve to enhance the securities offering regime, it will also make for a robust market for all players.

Some key highlights that will be discussed at this conference include:

  • The abolition of the “public offer” concept and its implications
  • Conduct of business rules and the penalties for violating these rules
  • Part XIII of the SF(A) Act 2005 on offers of investments
  • Proposed changes to the SGX-ST Listing Manual
